Corporate StatusMajestic Theatre Management (MTM) is a 501C3 not-for-profit corporation chartered by The State of Oregon. The corporation name was change in 1991 from Willamette Arts Council to Majestic Theatre Management to more clearly identify its function. Currently, over 400 persons are members of MTM. |
Board of DirectorsThe directors of the Majestic Theatre Management Corporation are elected by the corporation's members at their annual meeting in October of each year. There are fifteen (15) regular directors, each of whom serve three(3) year terms. The terms of office are staggered; five (5) terms expire each year. There are two student directors who represent area high schools. They serve one year terms. Collectively, the directors bring considerable experience in arts administration, financial management, theatre operations, and fundraising to the management of the Majestic Theatre. At a meeting in November of each year, the directors elect the officers of the Board of Directors: president, vice-president, secretary, and treasurer. The officers constitute the executive committee of the Board. |
Standing CommitteesIn addition to the executive committee, the Board operates through five (5) standing committees: (1) operations and maintenance, (2) administration, (3) public relations and marketing, (4) development and membership, (5) fundraisers and productions, (6) volunteers, and (7) education. These committees work with and support the Managing Director who is assigned overall responsibility for the operation of the Majestic Theatre. |
Contractual Relationship with the City of CorvallisFollowing almost nine (9) months of negotiations between the City of Corvallis and the Willamette Arts Council, on August 1, 1991, the parties entered into a five (5) year contract for the Willamette Arts Council (now Majestic Theatre Management ) to manage the theatre. This contract has been renewed to the year 2005. Central to the contractual relationship between the parties is the commitment that City of Corvallis tax revenue will not be used in support of theatre operations. The City retains ownership of the building and equipment, however, MTM is responsible for the repair and maintenance of the building (except the roof) and equipment during the five (5) year period. All theatre operating expenses, such as salaries and employee benefits, utilities (except water and sewage), promotion expenses, etc. are paid by MTM. MTM must report annually to the City Council on its management of the theatre and the City retains the right of inspection. The City of Corvallis retains ownership and management of the Majestic Theatre Endowment. The interest earned on the Endowment is annually paid to MTM is support of theatre operations. MTM has agreed to cooperate with the City's efforts to increase the principle of the Endowment. MTM maintains insurance coverage in accordance with standards specified in the management agreement. |
